Terms of Service

1. Acceptance of Terms

By accessing or using the StevFix Technologies website at stevfix.com (the "Site") or engaging any of our services, you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree to these Terms, please do not use the Site or our services. These Terms apply to all visitors, clients, and other users of the Site.

2. About StevFix Technologies

StevFix Technologies is a Ghanaian technology company registered under the laws of the Republic of Ghana. We provide the following services:

• Web development and design
• Mobile application development (iOS & Android)
• Graphic design and branding
• School management systems
• Cloud solutions and infrastructure
• IT consulting and support
• Proprietary software products (Sukuu Wura, Admit Me, Abapa E-Voting, Dwadinii POS, Adwumafo HRM)

Our principal office is located at Ablekuma, Greater Accra Region, Ghana, with additional operations in Mamponteng, Kwabre East Municipal, Ashanti Region, Ghana.

3. Use of the Site

You agree to use the Site only for lawful purposes and in a manner that does not:

• Violate any applicable local, national, or international law or regulation.
• Transmit unsolicited or unauthorised advertising, promotional material, or any other form of solicitation ("spam").
• Attempt to gain unauthorised access to any part of the Site, its server, or any database connected to the Site.
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site.
• Introduce viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful.
• Harvest or collect any personally identifiable information from the Site without authorisation.

4. Engagement of Services

4.1 Project Agreements

All service engagements are governed by a separate written agreement, statement of work, or proposal ("Project Agreement") signed by both parties. These Terms apply as a supplement to any Project Agreement. In the event of a conflict, the specific Project Agreement shall prevail.

4.2 Quotations

All quotations provided by StevFix Technologies are valid for 30 days from the date of issue unless otherwise stated. We reserve the right to revise a quotation if the scope of work changes or if information provided by the client was inaccurate or incomplete.

4.3 Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information, content, and approvals required for the delivery of services. Delays caused by the client may affect project timelines, and StevFix Technologies shall not be liable for such delays.

5. Payment Terms

Unless otherwise agreed in writing:

• A non-refundable deposit of 50% of the total project fee is required before work commences.
• The remaining balance is due upon project completion and before final deliverables or source files are transferred to the client.
• Invoices unpaid after 14 days of the due date may incur a late payment fee of 2% per month on the outstanding balance.
• All prices are quoted in Ghanaian Cedis (GHS) or US Dollars (USD) as stated in the applicable quotation. Payment in other currencies may be accepted at the prevailing exchange rate.

6. Intellectual Property

6.1 Our Content

All content on the Site — including but not limited to text, graphics, logos, images, and software — is the property of StevFix Technologies or its content suppliers and is protected by Ghanaian and international intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

6.2 Client Deliverables

Upon receipt of full payment, StevFix Technologies assigns to the client all intellectual property rights in the custom deliverables created specifically for that client under the applicable Project Agreement, except for:

• Any pre-existing materials, frameworks, libraries, or tools ("Background IP") used in the creation of deliverables, which remain the property of StevFix Technologies.
• Third-party components licensed separately (e.g., stock images, fonts, open-source libraries), which are subject to their respective licences.

6.3 Portfolio Rights

StevFix Technologies reserves the right to display completed work in its portfolio, case studies, and marketing materials unless the client requests confidentiality in writing prior to project commencement.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information exchanged during the course of a project engagement ("Confidential Information"). Neither party shall disclose Confidential Information to third parties without the other's prior written consent, except where required by law. This obligation survives the termination of any agreement between the parties for a period of three (3) years.

8. Termination & Cancellation

Either party may terminate a project engagement upon 14 days' written notice. In the event of termination:

• The client shall pay for all work completed up to the date of termination at the agreed hourly or pro-rata rate.
• The initial deposit is non-refundable unless termination is due to a material breach by StevFix Technologies.
• StevFix Technologies reserves the right to terminate immediately if the client engages in conduct that is unlawful, abusive, or in breach of these Terms.

9. Disclaimers & Warranties

The Site and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

StevFix Technologies does not warrant that:

• The Site will be uninterrupted, timely, secure, or error-free.
• Results obtained from the use of the Site will be accurate or reliable.
• Defects in the Site will be corrected within a specific timeframe.

10. Limitation of Liability

To the fullest extent permitted by applicable law, StevFix Technologies, its directors, employees, partners, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, or goodwill — arising out of or in connection with your use of the Site or our services, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the total fees paid by you to StevFix Technologies in the three (3) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless StevFix Technologies and its affiliates, officers, agents, employees, and partners from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising out of your use of the Site, your violation of these Terms, or your infringement of any third-party right, including intellectual property or privacy rights.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be submitted to mediation. If mediation fails, the dispute shall be referred to the courts of Ghana for final resolution.

13. Third-Party Links & Services

The Site may contain links to third-party websites or services that are not owned or controlled by StevFix Technologies. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites. We strongly advise you to review the Terms and Privacy Policy of any third-party site you visit.

14. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. We recommend checking this page periodically.
